1. General Scope & Merchant of Record (Whop)
This End User License Agreement ("EULA") is a legal agreement between you (either an individual or an entity) and ValidCode Solutions for the digital software assets, prompt architectures, source code, and associated documentation (collectively, the "Software Product") purchased through Whop (Whop, Inc.), our authorized Merchant of Record (MoR).
By purchasing, accessing, or using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not access or use the Software Product.
2. Grant of Commercial Use License (Licensed, Not Sold)
The Software Product is licensed, not sold. ValidCode Solutions retains all underlying intellectual property rights, copyrights, patents, and trademarks in and to the Software Product. Subject to payment confirmation via Whop, ValidCode Solutions grants you a personal, perpetual, non-exclusive, non-transferable Commercial Use License to use the Software Product:
- Standard Commercial Use License: Allows you to deploy, customize, and build end products for yourself or for your clients.
- Commercial Usage Rights: You may commercialize end products built using the prompt architectures and codebases, without recurring per-seat fees or royalty obligations to ValidCode Solutions.
3. Permitted Uses
Under the license granted, you may:
- Modify, adapt, and build upon the source code or prompt architectures to construct your proprietary end applications.
- Deploy the resulting applications to live production environments for commercial use.
- Charge your end users or clients for access to the products or services created with the licensed foundation.
4. Prohibited Uses
You are strictly prohibited from:
- Redistribution as Templates: You may not sell, resell, lease, sub-license, redistribute, or syndicate the raw Software Product or prompt bundles as standalone templates or prompt libraries.
- Competing Products: You may not use the Software Product to create a derivative product that directly competes with the original Software Product (e.g., repackaging a prompt bundle to sell to other developers).
- Public Source Code Repositories: You may not publish uncompiled source material or raw prompt packages in public GitHub, GitLab, or other publicly accessible repositories.
5. Intellectual Property Retention
All title, ownership rights, and intellectual property rights in and to the Software Product remain exclusively with ValidCode Solutions. This EULA grants you usage rights only and does not convey ownership of the underlying intellectual property.
6. Termination
Without prejudice to any other rights, ValidCode Solutions may terminate this EULA if you fail to comply with any of its terms. Upon termination, you must cease using and delete all copies of the raw Software Product and its component files.
7. Disclaimer of Warranties & Limitation of Liability
The Software Product is provided under our Technical Standards. To the maximum extent permitted by applicable law, ValidCode Solutions shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the Software Product.
